What is international arbitration in India?

International arbitration in India is a recognized and statutory method of resolving cross-border commercial disputes outside of traditional court litigation, governed principally by the Arbitration and Conciliation Act, 1996 (Arbitration Act). The legal framework for international arbitration in India distinguishes between two primary categories under the Arbitration Act, namely international commercial arbitration held within India and foreign seated arbitrations where the award is enforced in India. An arbitration is legally classified as an international commercial arbitration under Section 2(f) of the Arbitration Act if at least one of the parties is a national of, or habitually resident in, a country other than India, or is a body corporate incorporated in a country other than India, or is an association or a body of individuals whose central management and control is exercised in any country other than India, or is the Government of a foreign country. Furthermore, the subject matter of the dispute must relate to a commercial relationship under the law in force in India, regardless of whether that relationship is contractual or not. The statutory regime governing international arbitration in India underwent significant legislative reforms through the Arbitration and Conciliation (Amendment) Act, 2015, and the Arbitration and Conciliation (Amendment) Act, 2019, aimed at making India a global hub for international commercial arbitration and minimizing judicial intervention. Under Part I of the Arbitration Act, which applies to arbitrations seated in India, arbitral tribunals possess wide powers to grant interim measures under Section 17, and Indian courts are empowered under Section 9 to grant interim relief before or during arbitral proceedings or even after the making of the arbitral award but prior to its enforcement. However, for international commercial arbitrations seated outside India, the applicability of certain provisions of Part I, specifically Section 9 for interim measures and Section 27 for court assistance in taking evidence, has been restricted unless the parties have expressly or impliedly agreed otherwise, as clarified by the Supreme Court of India in landmark judgments such as Bharat Aluminium Co v Kaiser Aluminium Technical Services Inc (BALCO). The constitution of the arbitral tribunal in an international commercial arbitration follows the autonomy of the parties, who may agree on a procedure for appointing arbitrators under Section 11 of the Arbitration Act. If the parties fail to agree on a procedure or if the appointment mechanism breaks down, an application for the appointment of an arbitrator must be made to the Supreme Court of India in international commercial arbitrations, unlike domestic arbitrations where applications are made to the respective High Court. This centralization ensures that international disputes receive expedited and specialized judicial attention at the highest level. The 2019 amendment also introduced the Arbitration Council of India under Part IA of the Arbitration Act to grade arbitral institutions and accredit arbitrators, promoting institutional arbitration over ad-hoc arbitration in the country. When an international arbitration is seated outside India, the resulting foreign arbitral award is enforced in India under Part II of the Arbitration Act, which incorporates the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards and the Geneva Convention on the Execution of Foreign Arbitral Awards. Under Section 48 for New York Convention awards and Section 57 for Geneva Convention awards, Indian courts have limited grounds to refuse enforcement. These grounds are exhaustive and include incapacity of parties, invalidity of the arbitration agreement under the applicable law, lack of proper notice of the appointment of the arbitrator or of the arbitral proceedings, the award dealing with a dispute not contemplated by or not falling within the terms of the submission to arbitration, the composition of the arbitral authority or the arbitral procedure not being in accordance with the agreement of the parties, or the award having become yet binding on the parties or having been set aside or suspended by a competent authority of the country in which, or under the law of which, that award was made. Additionally, Indian courts can refuse enforcement if the subject matter of the dispute is not capable of settlement by arbitration under Indian law, or if the enforcement of the award would be contrary to the public policy of India. The public policy exception has been interpreted narrowly by Indian courts following legislative amendments to mean that an award is in conflict with the public policy of India only if the making of the award was induced or affected by fraud or corruption, or it is in contravention with the fundamental policy of Indian law, or it is in conflict with the most basic notions of morality or justice. Institutional arbitration has gained substantial momentum in India with the establishment of world-class centers such as the Mumbai Centre for International Arbitration and the Delhi International Arbitration Centre, providing structured rules, administrative support, and transparent fee schedules for international disputes. The courts in India consistently adopt a pro-arbitration stance, honoring the principle of party autonomy and limiting judicial review of arbitral awards to patent illegality on the face of the award for domestic matters, while restricting grounds for international commercial arbitrations seated in India. This judicial philosophy ensures that foreign investors and international corporations can rely on predictable, fair, and efficient dispute resolution mechanisms when conducting business involving Indian entities or assets, thereby fostering international trade and commercial confidence in the Indian legal system.
